These Terms of Service ("Terms") govern your access to and use of the Elemental Peptides website (the "Site") and your purchase of any products from Elemental Peptides ("Elemental Peptides," "we," "us," or "our"). By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms, our Privacy Policy, and our Return & Refund Policy, each incorporated by reference. 1. Eligibility & Age Verification

2. Research Use Only — Intended Use & Restrictions

  • Our products are not drugs, foods, food additives, dietary supplements, cosmetics, or medical devices, and have not been approved or evaluated by the FDA.

  • Our products are not sold for, and may not be used in, any in-vivo, human, or animal study or application.

  • Under no circumstances may our products be administered to humans or animals.

  • Purchasing a product grants no right to use it for any purpose other than legitimate in-vitro research.

3. Qualified Researcher Representation

  • You represent that you are a qualified researcher affiliated with a laboratory, institution, university, or other research facility, or are otherwise qualified to purchase and handle research materials.

  • You represent that you possess the professional knowledge, training, and laboratory environment necessary to handle these materials safely.

  • You agree to use the products solely for lawful, non-clinical laboratory research.

4. Assumption of Risk & Safe Handling

  • You acknowledge that handling research chemicals involves inherent risks, and you assume full responsibility for those risks.

  • You assume full responsibility for any injury, loss, or damage arising from the use or misuse of the products, and you waive and release Elemental Peptides and its affiliates from all liability related to such risks.

  • You are solely responsible for verifying the hazards of any product and for proper storage, handling, containment, and disposal in accordance with applicable safety standards and good laboratory practice.

5. Buyer Responsibilities & Legal Compliance

  • You are solely responsible for compliance with all applicable local, state, and federal laws and regulations governing the purchase, possession, handling, use, and disposal of the products.

  • You are responsible for compliance with all U.S. export control laws and regulations and may not export or re-export any product in violation of those laws.

  • You are responsible for obtaining any permits, licenses, or registrations that your research may require.

  • Elemental Peptides is not liable for any damages caused by your failure to comply with these Terms or applicable law.

6. No Medical Advice; Product Information

  • All Site content, product descriptions, and reference materials are provided for informational purposes only and do not constitute medical, health, or professional advice.

  • We make no warranty, representation, or guarantee regarding the products or any information provided.

  • Information may contain errors or omissions; we do not warrant its accuracy or completeness and may correct it at any time without notice.

7. Order Acceptance, Screening & Right to Refuse

  • Your submission of an order is an offer to purchase. No contract is formed until we accept and ship your order.

  • We reserve the right to hold, cancel, or refuse any order, and to limit or deny sales to any individual, where the research purpose cannot be verified, where misuse or resale is suspected, or for any regulatory or compliance concern.

  • We reserve the right to limit quantities.

8. Pricing, Availability & Errors

  • Prices, products, and availability are subject to change without notice.

  • We reserve the right to correct pricing or description errors and to cancel any order placed at an incorrect price, even after the order is confirmed, with a refund as your sole remedy.

  • All products are offered subject to availability.

9. Payment, Shipping & Delivery

  • You authorize us and our payment processor to charge your chosen payment method, and you are responsible for any applicable taxes and fees.

  • Title and risk of loss pass to you upon delivery of the products to the carrier.

  • Shipping timelines are estimates only; we are not liable for carrier delays.

10. Returns & Refunds

Returns and refunds are governed by our Return & Refund Policy, incorporated here by reference. Because our products are sensitive research materials, opened or used products are generally non-returnable.

11. Prohibition on Resale & Redistribution

  • Our products are not sold for resale. You may not resell, relabel, repackage, or redistribute the products, particularly to any party intending non-research use.

  • You may not market or represent the products for any human, animal, or non-research use.

12. Disclaimer of Warranties

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ELEMENTAL PEPTIDES' TOTAL LIABILITY ARISING OUT OF OR RELATED TO ANY PRODUCT OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

  • In no event shall Elemental Peptides be liable for any indirect, incidental, special, consequential, or punitive damages, whether the claim is based in contract, negligence, strict liability, or any other theory, even if advised of the possibility of such damages.

  • Elemental Peptides is expressly not liable for any harm resulting from human or animal use, misuse, or any use contrary to the research-use-only restriction.

14. Indemnification

You agree to indemnify, defend, and hold harmless Elemental Peptides and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, losses, damages, costs, and expenses, including reasonable attorneys' fees, arising from or related to: (a) your purchase, possession, handling, or use of the products, including any personal injury, property damage, or other harm, whether direct or indirect, foreseeable or unforeseeable; (b) any administration of the products to humans or animals; (c) your violation of these Terms or any applicable law; or (d) your negligence or misconduct.

15. Intellectual Property

All content on the Site, including text, graphics, logos, branding, product images, documentation, and design, is the property of Elemental Peptides or its licensors and may not be copied, reproduced, distributed, or used without our prior written permission. All rights not expressly granted are reserved.

16. Accounts & Acceptable Use

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

  • You may not misrepresent your identity or purpose, scrape or interfere with the Site, place fraudulent orders, or attempt to circumvent our order screening.

  • We may suspend or terminate accounts that violate these Terms.

17. Zero-Tolerance Misuse Policy

Any indication that products are intended for human or animal use, for resale for consumption, or for any unlawful purpose will result in immediate cancellation of the order, termination of your account, and forfeiture of any obligation to ship. We may report suspected unlawful activity to the appropriate authorities.

18. FDA & Regulatory Statement

Our products are not approved or evaluated by the U.S. Food and Drug Administration and are not drugs, dietary supplements, or medical devices. Any statements regarding the products have not been evaluated by the FDA. Nothing on the Site is intended to diagnose, treat, cure, or prevent any disease.

19. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of New York for any matter not subject to arbitration.

20. Dispute Resolution; Arbitration & Class-Action Waiver

  • Any dispute arising out of or relating to these Terms or your purchase will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, seated in New York.

  • Arbitration will be conducted on an individual basis only. You waive any right to participate in a class action or class-wide arbitration, and you waive any right to a jury trial.

  • Before initiating arbitration, the parties agree to attempt to resolve the dispute informally by written notice for at least 30 days.

21. Changes to These Terms

We may modify these Terms at any time. Changes are effective when posted to the Site. Your continued use of the Site or purchase of products after changes are posted constitutes acceptance. You are responsible for reviewing the current Terms.

22. Miscellaneous

  • Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
